ClearBiz Terms and Conditions

1. About these terms

These terms apply to every ClearBiz plan. ClearBiz is a trading name of Solve Accounting and Outsource Solutions Ltd (trading as Solve Outsource), registered in Ireland under company number 488451, at Unit 10, Block 8, Blanchardstown Corporate Park, Dublin 15, D15 EKC2. In these terms, "we" and "us" means ClearBiz and "you" means the client.

ClearBiz is a service for businesses. By signing up, you confirm you are buying for your trade, business or profession as a sole trader, self-employed person or company, and not as a consumer.

You accept these terms when you sign up for a plan or pay your first subscription fee. Our Privacy Policy and Cookie Policy also apply.

2. Our service and plans

ClearBiz gives you software, guidance and support so you can keep your own books and file your own tax returns. We support you; we do not do your bookkeeping or file returns for you unless we agree that separately in writing.

Every plan includes:

  • a Xero subscription at the level shown on our website, set up for your business
  • one-to-one onboarding, including Xero bank feeds, rules and automations
  • support with monthly bookkeeping and bank reconciliations
  • support preparing your VAT returns and annual tax return (Form 11 for sole traders, CT1 corporation tax return for companies)
  • email and phone access to a qualified accounting professional during business hours, Monday to Friday, 9am to 5pm

Plans do not include, unless agreed in writing: doing your bookkeeping for you, filing returns on your behalf, acting as your Revenue agent, payroll, audits, company secretarial work, representing you in a Revenue audit or enquiry, or catching up on records from before you joined. We can quote for these separately.

3. Your responsibilities

You stay responsible for your own accounts and tax affairs. In particular, you are responsible for:

  • recording your income and expenses in Xero accurately and keeping your receipts and records
  • giving us complete and accurate information when you ask for support
  • checking and approving every return before it is filed
  • filing your returns and paying your tax on time. Our reminders are a courtesy and do not replace your own deadline tracking
  • keeping your Xero login secure and telling us promptly if your business details change

Our guidance is based on the information you give us. We are not responsible for Revenue penalties, interest or surcharges caused by late filing, late payment, or incomplete or inaccurate information you provide.

4. Fees, billing and plan changes

Plans are billed monthly in advance through Stripe, starting on the day you sign up. All prices exclude VAT, which is added at the current rate.

Moving plans

If a sole trader regularly goes over their plan's invoice or bill limits for two months in a row, or a company's annual turnover goes over €100,000, we will tell you and move you to the right plan from your next billing date. You can ask to move plans at any time.

Price changes

We may change our prices. We will give you at least 30 days' notice by email, and you can cancel before the new price applies.

Late payment

If a payment fails, we will let you know and try again. If it is still unpaid after 14 days, we may pause support until it is paid. Xero access continues during that time. If fees stay unpaid for 30 days, we may end your plan as set out in section 5.

5. Cancelling and leaving

"Cancel anytime" means there is no minimum term. To cancel, email [email protected] giving 30 days' notice. Your plan, support and Xero access continue until the end of the notice period, and you pay for that period. We do not refund part-months.

Your Xero data

Your Xero organisation and the records in it belong to you. When your plan ends, you have 30 days to choose one of these options:

  1. Take over the Xero subscription in your own name, paying Xero directly. We will transfer it to you at no charge.
  2. Move to another accountant or Xero partner. We will transfer the subscription to them.
  3. Export your data. Xero lets you download reports, transactions and attachments.

If you don't choose within 30 days, we may cancel the Xero subscription. Xero then keeps the organisation in read-only form for a limited time before deleting it, under Xero's own terms. Please export anything you need first.

We keep our own copies of your file after you leave, as set out in our Privacy Policy.

6. Identity checks and anti-money-laundering

As an accountancy service, we must follow the Criminal Justice (Money Laundering and Terrorist Financing) Act 2010. Before we start, we will ask for photo ID and proof of address, and for companies, details of directors and beneficial owners. We may repeat these checks during our relationship.

We can't start or continue working with you until the checks are complete. We may decline to act, or stop acting, where the law requires it. The law may also require us to report suspicions to the authorities without telling you.

7. Liability

We provide our support with reasonable skill and care, and we hold professional indemnity insurance.

Our total liability to you for any claim connected with our service is limited to the fees you paid us in the 12 months before the claim arose. We are not liable for loss of profit, loss of business, or indirect or consequential loss.

We are not responsible for Xero's software, availability or data security, which are covered by Xero's own terms, or for losses caused by information you gave us that was incomplete or inaccurate.

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.

8. Other terms

Confidentiality

We keep your business and financial information confidential. We only share it as set out in our Privacy Policy, with your permission, or where the law requires it.

Data protection

Our Privacy Policy explains how we use your personal data. Your Xero records may include personal data about your own customers and suppliers. For that data, we act as your data processor: we use it only to provide our service, keep it secure, and use trusted sub-processors such as Xero.

Ending by us

We may end your plan with 30 days' notice for any reason. We may end it immediately if you don't pay fees 30 days after they are due, breach these terms seriously, or if the law requires it, including under anti-money-laundering rules. Section 5 then applies to your Xero data.

Changes to these terms

We may update these terms. We will email you at least 30 days before any change that affects you, and you can cancel before it applies.

Complaints

If you are unhappy with our service, email [email protected]. We will acknowledge your complaint within 5 working days and aim to resolve it within 30 days.

Governing law

These terms are governed by Irish law, and the Irish courts have exclusive jurisdiction.
